What we take care of

  • Named, locally resident company secretary
  • Maintaining statutory registers and minute books
  • Preparing AGM documents or written resolutions in lieu of an AGM
  • Filing the annual return with ACRA
  • Board and shareholder resolutions for routine changes
  • Updating ACRA on changes to directors, shareholders, address or business activity
  • Register of registrable controllers
  • Reminders ahead of every ACRA deadline

Why it matters

Under the Companies Act, a company secretary must be appointed within six months of incorporation, and a sole director cannot also act as the company secretary. Missed annual returns and late filings attract penalties for the company and its officers.

Switching to AAA? Tell us in writing. We prepare the resolution, take over your registers and file the change with ACRA.

Changes outside the routine scope, such as share transfers, allotments or strike-offs, are quoted upfront before we begin.

Company secretary FAQ

Company secretary requirements: quick answers

When must a company secretary be appointed?

A Singapore company must appoint a company secretary within six months of its incorporation date, under the Companies Act. The secretary must be a natural person who lives in Singapore, and a sole director cannot also act as the company secretary. The office must not be left vacant for more than six months.

Most founders appoint a secretary at incorporation, which is why our S$638 package includes 12 months of company secretary service.

What is included in a corporate secretarial package?

A corporate secretarial package usually covers a named company secretary, keeping your statutory registers and minutes, preparing AGM documents or written resolutions, filing the annual return with ACRA, and lodging routine changes such as new directors or a change of address. At AAA it costs S$360 a year, including the S$60 ACRA fee.

Non-routine work, such as share transfers, share allotments or striking off a company, is quoted upfront before we start.
