What does the law require of a company secretary?
ACRA says every company must have at least one director and one company secretary. The secretary must be appointed within six months of registration and the position cannot be empty for more than six months, otherwise the director may face a fine of up to S$1,000. A secretary must be a real person (not a company) whose principal or only place of residence is in Singapore, and cannot be the same person as the sole director. ACRA describes the role as maintaining the company's information and registers, organising meetings and taking notes, reminding directors about annual filing deadlines and updating everyone on new rules.
What should a company secretary fee include?
Use this checklist when you compare quotes, from AAA or anyone else. Ask in writing whether each item is included, and what it costs if not.
- A named secretary whose principal or only place of residence is in Singapore, for the full period.
- Statutory registers and minutes kept up to date.
- AGM documents or written resolutions in lieu of an AGM.
- The ACRA annual return filing, and whether the ACRA filing fee is inside the price or added on top.
- Routine changes: new directors, change of address, change of business activity. ACRA requires officer changes to be filed within 14 days through Bizfile.
- Reminders ahead of each ACRA deadline.
- Whether GST is added to the quote.
- What happens when you want to leave, and whether registers are handed over.
What happens if the secretary role or the filings are neglected?
A late annual return costs S$300 if filed up to three months after the deadline and S$600 if later. ACRA may also offer a composition sum for late filings; in its example, a late AGM and a late annual return each carried a composition sum of at least S$500. Source: ACRA. Switching company secretary
You can change company officers at any time, and ACRA requires the change to be filed through Bizfile within 14 days. Source: ACRA. If you switch to AAA, tell us in writing. We prepare the resolution, take over your registers and file the change with ACRA.
